Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vergio (the “Service”). By creating an account or using the Service, you agree to these Terms. The Service is provided by Ricky Wolff under the trading name Vergio, registered with the Dutch Chamber of Commerce (KvK) under number 42111844, from Duinmeer 92, the Netherlands (“Vergio”, “we”, “us”, or “our”). If you do not agree, do not use the Service.
1. The Service
Vergio provides Shopify agencies with a ranked list of merchant accounts derived from public store signals, and generates white-label diagnostic reports (“Growth Reports”). The Service relies on publicly available data and automated analysis; outputs are estimates and informational aids, not guarantees of any outcome.
2. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your team members' use of the Service. You must be authorised to act on behalf of the agency you register.
3. Acceptable use
You must follow our Acceptable Use Policy. In particular, Outreach Studio may be used only for permission-based commercial email. Cold or unsolicited commercial email, email warming, spam-filter evasion, and ignoring opt-outs are prohibited. You are responsible for permission evidence, message content, and every communication you send.
4. White-label reports
Growth Reports are rendered under your agency's branding for you to share with prospects. You are solely responsible for the accuracy of any claims you add, for compliance with applicable advertising and consumer- protection laws, and for your relationship with the recipient. Figures in a report are ranges based on stated assumptions and public benchmarks, not a target store's actual revenue.
5. Plans, credits, and payment
Paid plans, add-ons, and credit packs are billed through our payment processor (Stripe). Each plan includes a monthly allowance of Growth Reports and a monthly budget of new opportunities; unused included reports roll over up to a per-plan cap rather than resetting to zero, and purchased top-up credits do not expire. Plan increases apply immediately (prorated) and decreases take effect at your next renewal. Except where required by law, payments are non-refundable; if a report fails or is withheld on our side, the credit is automatically returned to your balance. You can manage or cancel your subscription from the billing portal.
6. Intellectual property
Vergio and its underlying software, models, and content are owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service and the reports you generate for your business. You retain ownership of your own brand assets and the content you add.
7. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its analysis will be accurate or complete.
8. Limitation of liability
To the maximum extent permitted by law, Vergio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months before the claim.
9. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; sections that by their nature should survive will survive.
10. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by notice. Continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules.
